Notes on Filing North Dakota Articles of Incorporation

The filing fee, payable to the Secretary of State in Bismarck, is $100.

If the corporation intends to be a Farm Corporation (see
North Dakota Corporations), it must submit the Initial Report for Farming
or Ranching along with the Articles of Incorporation and filing fee.

The name selected for the corporation must be available for use in North Dakota;
it cannot be the same as or confusingly similar to a name already on file with the
state's offices in Bismarck.

There are certain restricted terms, such as "trust" or "bank," that are restricted
in the state; these types of corporations require written approval from the North
Dakota Department of Financial Institutions, also located in Bismarck.

The registered agent's address, if a noncommercial (individual) agent, must be a
physical address within North Dakota; a PO box or mail center address cannot be
used.
