Steps to Forming a Georgia Limited Liability Company
The information absolutely required by the state to be included in your Articles
of Organization is minimal. However, you can add additional information to those
Articles, and it is strongly advised that you contact a legal advisor to determine
what information you should have on file with the Georgia Secretary of State to
avoid having to supplement your Articles of Organization at a later time.
The following is the minimum amount of information required:
- Name: You should determine your LLC name’s availability before moving forward with
the filing—if you select a business name that’s already on file with the Georgia
Secretary of State, your Articles will be rejected. We can do a

- Management: You must specify whether your LLC is to be managed by managers or by
members. This Article is optional.
- Signatures: The Articles of Organization should be signed by a Member, Manager,
or Organizer. That person should also provide his or her title.

before April 1, beginning the calendar year after the filing date and every calendar
