- Name: This is the first step you need to take if you are interested in forming your Massachusetts Corporation. The name you choose should be different from all other registered corporations. Further, the name should end with Limited, Corporation, Company or Incorporated or an abbreviation of one of these.
- Incorporators: There should be one or more incorporators. There are no eligibility criteria regarding the appointment of incorporators.
- Duties: As an incorporator, you need to send organization articles to the Secretary of the Commonwealth for filing.
- Listing: Articles should include name and address of every incorporator.
Stock Details
As a business owner, you are authorized to issue a specified number of shares. Supplemental details with article filing are name of the initial registered agent, president and directors as well as the corporation's fiscal year. Massachusetts corporations are governed by the bylaws and officers are appointed by the Board of Directors.
